Corporate Tax Registration Deadlines for Free Zone Companies

Here’s the trap that catches even 0% companies: you can owe no corporate tax and still be hit with a AED 10,000 penalty — simply for registering late. Registration is mandatory for nearly everyone, including free zone companies and QFZPs. This guide lays out the deadlines so you don’t pay a fine for tax you never owed.

Every free zone company must register — even at 0%

This is the part people miss. A Qualifying Free Zone Person on a 0% rate still has to register for corporate tax and file an annual return. A 0% rate is not an exemption from the system — it’s a rate *within* it. (For how the rates work, see UAE corporate tax explained.)

The deadline for new companies: 3 months

A newly established company — mainland or free zone — must register for corporate tax within 3 months of its incorporation/establishment date.

Example: a company set up in April 2026 must complete its EmaraTax registration by the end of July 2026.

The AED 10,000 late-registration penalty

Miss your registration deadline and the FTA applies a fixed AED 10,000 penalty, automatically, through the EmaraTax system — no warning. It must be settled before other tax transactions can be finalized. The fine is the same whether you owe tax or not.

Filing deadlines (after you’re registered)

Your corporate tax return is generally due 9 months after the end of your tax period.

Example: for a financial year ending 31 December 2025, the return is due by 30 September 2026.

The penalty waiver worth knowing

There’s relief if you were late: file your first return (or annual declaration) within 7 months of your first tax period’s end — instead of the usual nine — and the AED 10,000 late-registration penalty can be waived. If you already paid it, the amount is credited back to your EmaraTax account once you meet the condition. It’s a genuine second chance — but only if you act early.

How to register

Registration is done online through the FTA’s EmaraTax portal. You’ll need your trade license, owner/manager IDs, and company details. Many founders bundle this with their setup so it’s never missed — and tidy tax registration also helps when you open a corporate bank account.

A quick checklist

  1. Register within 3 months of incorporation.
  2. File within 9 months of your tax-period end.
  3. Consider the 7-month first-return window if you’re already late.
  4. Don’t assume 0% means no filing — it doesn’t.
  5. If your revenue is under AED 3M, also look at Small Business Relief, and remember VAT is a separate registration.
